Terms of Service
1. Who We Are
Title Steward is a product of Title Collections Inc. ("we," "us," or "the Company"). We provide a cloud-based technology platform for managing and cataloging valuable collections, including fine art, watches, and collectibles.
The platform includes inventory management, valuation tracking, document storage, a private marketplace, concierge services, and team access controls. By accessing or using Title Steward ("the Platform"), you agree to be bound by these Terms of Service ("Terms").
2. Acceptance of Terms
By creating an account, accessing the Platform, or using any of our services, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.
If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. User Roles and Access
Users may have different access levels within an organization on the Platform:
- Administrators manage the organization, invite members, and control access permissions.
- Members interact with collection data according to permissions granted by administrators.
Each role carries distinct permissions and responsibilities. Administrators are responsible for ensuring that members within their organization comply with these Terms.
4. User Responsibilities
By using the Platform, you agree to:
- Provide accurate, complete, and current information when creating your account and using the Platform.
- Maintain the security and confidentiality of your login credentials and promptly notify us of any unauthorized access.
- Comply with all applicable laws, regulations, and third-party rights in connection with your use of the Platform.
- Take full responsibility for all activity that occurs under your account.
- Respect the confidentiality of data belonging to other users and organizations.
5. Prohibited Uses
You may not use the Platform for any unlawful or unauthorized purpose. Prohibited uses include, but are not limited to:
- Uploading, transmitting, or storing illegal, infringing, or harmful content.
- Engaging in or facilitating fraud, money laundering, or any other financial crime.
- Attempting to gain unauthorized access to the Platform, other accounts, or our infrastructure.
- Disrupting or interfering with the integrity, performance, or availability of the Platform.
- Using the Platform for any purpose that violates applicable local, provincial, national, or international law.
Title Collections Inc. reserves the right to suspend or permanently terminate any account found to be in violation of these prohibitions, without prior notice and without liability.
6. Fees and Confidentiality
Fees for access to the Platform are determined on a case-by-case basis and are set out in your individual agreement with Title Collections Inc. All fee arrangements are strictly confidential and may not be disclosed to any third party without our prior written consent.
Clients bear sole responsibility for all applicable charges, taxes, and levies arising from their use of the Platform.
7. Data Ownership and Retention
You retain ownership of all data, content, and materials you upload to the Platform ("User Content"). By uploading User Content, you grant Title Collections Inc. a non-exclusive, worldwide, royalty-free license to store, process, display, and use such content solely for the purpose of providing and improving the Platform.
Upon termination of your account, Title Collections Inc. will retain your data for a period of seven (7) years following termination, unless applicable law requires earlier deletion. You may request deletion of your data subject to our legal obligations.
We may analyze aggregated, anonymized data derived from the Platform for research, product improvement, and business purposes. We do not sell personal data to third parties.
8. Privacy
Your use of the Platform is also subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, and protect your personal information. By using the Platform, you consent to the data practices described in the Privacy Policy.
9. Termination and Suspension
Title Collections Inc. may suspend or terminate your access to the Platform at any time, with or without notice, for any of the following reasons:
- Misuse of the Platform or violation of these Terms.
- Breach of any agreement with Title Collections Inc.
- Non-payment of applicable fees.
If termination is due to a breach of these Terms, no refund will be issued for any prepaid fees. In all other cases, you may be entitled to a pro-rata refund for any prepaid but unused subscription period, at the Company's discretion.
You may terminate your account at any time by contacting us. Upon termination, your right to access the Platform ceases immediately.
10. Intellectual Property
Title Collections Inc. owns all rights, title, and interest in and to the Platform, including all software, algorithms, interfaces, designs, trademarks, and documentation. Nothing in these Terms transfers any intellectual property rights to you.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.
You retain ownership of your User Content. By uploading content, you grant us the licenses described in Section 7 above.
11. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Title Collections Inc. disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- Any warranty that the Platform will be uninterrupted, error-free, secure, or free of viruses.
- Any warranty as to the accuracy, completeness, or reliability of any information on the Platform.
Title Steward does not provide legal, financial, tax, or investment advice. Nothing on the Platform constitutes professional advice of any kind.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Title Collections Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.
In no event shall our total aggregate liability to you exceed the total fees you paid to Title Collections Inc. in the twelve (12) months immediately preceding the event giving rise to the claim.
13. Accuracy of Information
While we strive to ensure the Platform functions reliably, Title Collections Inc. bears no responsibility for errors or inaccuracies in valuation data, catalog records, or any other information uploaded to or generated by the Platform. Users must independently review all information before relying on it for any purpose, including insurance, financial, legal, or tax matters.
14. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Province of Québec, Canada, and the State of Delaware, U.S.A., without regard to their conflict-of-law provisions.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the courts located in Montréal, Québec or Delaware, as determined at the sole discretion of Title Collections Inc. You consent to the personal jurisdiction and venue of such courts.
15. Changes to These Terms
We may update these Terms from time to time. When we do, the revised Terms will be posted on the Platform with an updated "Last Updated" date. We will notify you of significant changes through the Platform or by email.
Your continued use of the Platform following the posting of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform.
16. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
